Terms and Conditions of Sale

These Terms and Conditions of Sale apply to all quotations, orders, sales, deliveries and supply of goods by NFM Europe. By placing an order with NFM Europe, the purchaser accepts these terms unless alternative terms have been agreed in writing and signed by an authorised representative of NFM Europe.

These terms are intended for business-to-business sales. If NFM Europe sells directly to consumers, separate consumer terms may be required.

2. Definitions

In these terms, the “Purchaser” means the person, company or organisation placing an order with NFM Europe.

“Goods” means any products, materials, components, alloys, castings, extrusions, manufactured items or other goods supplied by NFM Europe.

“Order” means a purchase order, written instruction, online order, email confirmation or other request to purchase goods from NFM Europe.

“Quotation” means a written price estimate or proposal issued by NFM Europe.

3. Quotations and Orders

All specifications, prices, product lists, technical information and quotations issued by NFM Europe are provided for information only and do not constitute a binding offer of sale.

A quotation only becomes binding once NFM Europe confirms acceptance of the Purchaser’s order in writing. NFM Europe reserves the right to accept, decline or amend any order before confirmation.

Once an order has been accepted, the Purchaser may not cancel, amend or vary the order unless NFM Europe agrees to this in writing. Any accepted cancellation or variation may be subject to reasonable charges for work already completed, materials purchased, administrative costs or other losses incurred by NFM Europe.

4. Prices

Unless stated otherwise in writing, all prices are quoted exclusive of VAT, delivery, packaging, insurance, customs charges, duties, taxes and any other additional costs.

Prices are based on the cost of labour, raw materials, freight, energy, exchange rates, import duties and other costs applicable at the time of quotation or order acceptance. If these costs increase before delivery, NFM Europe reserves the right to adjust the price accordingly.

Any price adjustment will be communicated to the Purchaser where reasonably possible.

5. Product Information and Specifications

NFM Europe will make reasonable efforts to ensure that product descriptions, specifications, dimensions, weights, tolerances and technical information are accurate. However, such information is provided as general guidance unless expressly confirmed in writing for a specific order.

Goods supplied by NFM Europe will conform to the specifications or requirements specifically accepted by NFM Europe in writing for that order. The Purchaser is responsible for ensuring that the goods are suitable for their intended use before placing an order.

NFM Europe does not give any warranty that the goods are suitable for a specific purpose unless that purpose has been clearly provided by the Purchaser and accepted by NFM Europe in writing.

6. Payment Terms

Payment terms will be as stated on the quotation, invoice, order confirmation or agreed credit account terms.

Unless otherwise agreed in writing, payment is due strictly within 30 days from the date of statement or invoice.

The Purchaser may not withhold payment, delay payment or set off any amount due to NFM Europe because of a dispute, claim or counterclaim unless NFM Europe has agreed to this in writing.

All payments must be made in the currency stated on the invoice.

7. Late Payment and Credit Control

If payment is not received by the due date, NFM Europe may charge interest on overdue amounts at the rate stated on the invoice, agreed credit terms or, where applicable, the statutory rate permitted under relevant late-payment legislation.

NFM Europe may also recover reasonable debt collection costs, legal costs and administrative costs incurred in collecting overdue amounts.

If the Purchaser fails to pay any amount when due, or if any payment is dishonoured, all outstanding amounts owed to NFM Europe may become immediately due and payable, even if the Purchaser has previously been granted credit terms.

NFM Europe may suspend further deliveries, cancel outstanding orders, withdraw credit facilities or require payment in advance where the Purchaser’s account is overdue or where NFM Europe has reasonable concerns about the Purchaser’s ability to pay.

8. Delivery

Delivery dates and lead times are estimates only. NFM Europe will make reasonable efforts to deliver goods within the stated timeframe, but time of delivery is not of the essence unless expressly agreed in writing.

NFM Europe will not be liable for any loss, damage, delay, cost or expense arising from late delivery or non-delivery, unless caused by its wilful misconduct.

Delivery will be deemed complete when the goods are delivered to the agreed delivery address, collected by the Purchaser, or handed to an authorised carrier.

The signature of any employee, representative, agent or carrier acting on behalf of the Purchaser on a delivery note, invoice, waybill or carrier document will be treated as proof of delivery.

9. Risk

Risk in the goods passes to the Purchaser on delivery, collection or handover to the carrier, whichever occurs first.

From that point, the Purchaser is responsible for the goods, including any loss, damage, theft, deterioration or insurance requirements.

10. Ownership

Ownership of the goods will not pass to the Purchaser until NFM Europe has received full payment for the goods and any related charges, including VAT, delivery costs, interest and any other amounts due.

Until ownership passes, the Purchaser must store the goods separately where reasonably possible, keep them identifiable as NFM Europe’s property and maintain them in good condition.

If the Purchaser fails to pay on time, NFM Europe may recover or resell the goods, and the Purchaser grants NFM Europe permission to enter any premises where the goods are stored for that purpose, where legally permitted.

11. Inspection, Complaints and Shortages

The Purchaser must inspect all goods immediately on delivery or collection.

Any complaint relating to shortages, visible damage, incorrect goods or delivery discrepancies must be reported to NFM Europe in writing within 48 hours of delivery.

Any claim relating to defective or non-conforming goods must be reported as soon as reasonably possible and, in any event, within seven days of delivery unless a different period is required by law or agreed in writing.

If the Purchaser does not notify NFM Europe within the relevant period, the goods will be deemed accepted.

12. Returns

Goods may not be returned without prior written approval from NFM Europe.

Where NFM Europe agrees to accept returned goods that were supplied correctly, a handling or restocking charge may apply. Unless otherwise agreed in writing, this charge will be a minimum of 15% of the value of the returned goods.

Returned goods must be unused, undamaged, securely packaged and in a condition suitable for resale unless the return relates to a defect or non-conformity accepted by NFM Europe.

Custom-made, cut-to-size, specially manufactured, imported, altered or non-standard goods may not be returned unless they are defective or NFM Europe has agreed otherwise in writing.

13. Defective or Non-Conforming Goods

If goods are proven to be defective or do not conform to the agreed written specification, NFM Europe’s liability will be limited, at its choice, to repairing the goods, replacing the goods, supplying equivalent goods or refunding the price paid for the affected goods.

NFM Europe must be given a reasonable opportunity to inspect the goods before any remedy is agreed.

NFM Europe will not be liable where the defect or non-conformity arises from incorrect installation, misuse, alteration, improper storage, unsuitable application, normal wear and tear, failure to follow instructions or specifications supplied by NFM Europe, or use of the goods for a purpose not approved by NFM Europe.

14. Product Use and Purchaser Responsibility

The Purchaser is responsible for ensuring that the goods are suitable for the intended application, environment, industry, design, load, process and regulatory requirements.

Any technical advice, recommendation or assistance provided by NFM Europe is given in good faith but does not remove the Purchaser’s responsibility to conduct its own checks, testing and assessments.

Where goods are supplied for further manufacture, resale, installation or incorporation into another product or system, the Purchaser is responsible for ensuring that the goods are used safely and lawfully.

15. Aeronautical, Aerospace and High-Risk Applications

Unless expressly agreed in writing by NFM Europe, aluminium extrusions and other goods supplied by NFM Europe are not supplied as suitable for aeronautical, aerospace, aircraft, defence, medical, nuclear or other high-risk applications.

Any use of the goods in such applications is entirely at the Purchaser’s own risk unless NFM Europe has confirmed suitability in writing.

The Purchaser must inform any third party, customer or subsequent purchaser of this restriction where the goods are resold, incorporated or supplied onward.

The Purchaser indemnifies NFM Europe against any claim, loss, damage, cost or expense arising from the use of goods in restricted or high-risk applications without NFM Europe’s written approval.

16. Tooling, Patterns, Dies and Customer Materials

Where tooling, dies, moulds, patterns, drawings, samples, specifications or materials are supplied by the Purchaser, the Purchaser warrants that it has the right to use and provide them to NFM Europe.

The Purchaser is responsible for ensuring that all customer-supplied drawings, samples, specifications and materials are accurate, complete and suitable for the intended purpose.

NFM Europe will not be liable for defects, delays or losses caused by inaccurate, incomplete or unsuitable customer-supplied information or materials.

Unless otherwise agreed in writing, any tooling, dies, patterns, moulds, technical drawings or production materials created by NFM Europe remain the property of NFM Europe, even where the Purchaser has contributed towards the cost.

17. Limitation of Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be limited or excluded.

Subject to the above, NFM Europe will not be liable for any loss of profit, loss of business, loss of production, loss of contract, loss of opportunity, loss of goodwill, indirect loss, consequential loss or special damages arising from the supply, delay, failure, defect or use of the goods.

NFM Europe’s total liability for any claim arising out of or in connection with an order will be limited to the price paid by the Purchaser for the goods giving rise to the claim.

18. Force Majeure

NFM Europe will not be liable for any delay or failure to perform its obligations where this is caused by events beyond its reasonable control.

Such events may include fire, flood, storm, strikes, labour disputes, transport disruption, supply chain disruption, machinery breakdown, shortage of raw materials, energy supply issues, war, terrorism, civil unrest, pandemic, government restrictions, import or export delays, or any other event outside NFM Europe’s reasonable control.

If such an event continues for a prolonged period, NFM Europe may cancel, suspend or vary the affected order without liability.

19. Compliance and Legal Requirements

The Purchaser must comply with all applicable laws, regulations, export controls, import requirements, sanctions, anti-bribery rules, health and safety requirements and industry standards relating to the purchase, resale, storage, transport and use of the goods.

The Purchaser must not use, export or resell goods in breach of applicable laws or restrictions.

20. Intellectual Property

All intellectual property rights in NFM Europe’s designs, drawings, specifications, technical information, product data, documents, website content, branding and materials remain the property of NFM Europe or its licensors.

The Purchaser may not copy, reproduce, distribute, reverse engineer or use NFM Europe’s intellectual property except as necessary for the agreed use of the goods.

Where goods are manufactured according to the Purchaser’s drawings, designs or specifications, the Purchaser warrants that such manufacture will not infringe any third-party intellectual property rights. The Purchaser indemnifies NFM Europe against any claim arising from such infringement.

21. Confidentiality

Any confidential information shared between NFM Europe and the Purchaser must be kept confidential and may only be used for the purpose of the relevant quotation, order or business relationship.

This includes pricing, technical drawings, specifications, manufacturing processes, commercial terms, customer information and other non-public business information.

22. Data Protection

NFM Europe will process personal information in accordance with its Privacy Policy and applicable data protection laws.

The Purchaser is responsible for ensuring that any personal information it provides to NFM Europe has been collected and shared lawfully.

23. Entire Agreement

These terms, together with the accepted quotation, order confirmation and any written agreement signed by NFM Europe, form the entire agreement between NFM Europe and the Purchaser.

The Purchaser acknowledges that it has not relied on any statement, representation, warranty or promise not expressly recorded in these terms or confirmed in writing by NFM Europe.

No amendment, variation or waiver of these terms will be valid unless agreed in writing by an authorised representative of NFM Europe.

24. Severability

If any part of these terms is found to be invalid, unlawful or unenforceable, that part will be treated as removed to the minimum extent necessary. The remaining terms will continue to apply.

25. Governing Law and Jurisdiction

These Terms and Conditions of Sale will be governed by the laws of the United Kingdom.

Any dispute arising from or relating to these terms, an order or the supply of goods will be subject to the exclusive jurisdiction of the courts of the United Kingdom, unless otherwise agreed in writing.

This section should be confirmed once NFM Europe’s legal structure and operating location have been finalised.
